On July 15, 2021, the Environmental Protection Bureau conducted an inspection at Croslene Chemical's factory (control number: J5901381, address: 88 Xiangxi Road, Hukou Village, Hukou Township, Hsinchu County). It was discovered that the coordinates of the discharge outlet D01 and the direct runoff wastewater discharge outlet RD01 did not match those approved in the Water Pollution Prevention and Control Permit (Document) (number: Hsinchu County Environmental Permit No. 00038-12). According to Article 21 of the Water Pollution Prevention and Control Measures Plan and Permit Application Review and Management Regulations, the aforementioned registration items were not reported to the issuing authority for change within 30 days from the next day after the occurrence of the facts, which is a violation of Article 14, Paragraph 2 of the Water Pollution Control Act. Our company places great emphasis on corporate integrity and ethics, and we have a zero-tolerance policy for corruption and bribery. To enhance our company's integrity indicators, we have implemented a comprehensive set of risk assessment procedures to gain a deeper understanding of corruption-prone business areas. As a concrete manifestation of our commitment, we have established the "Employee Code of Ethics and Conduct" to outline clear anti-corruption and anti-bribery measures. These measures are incorporated into the employee performance evaluation form as relevant assessment items, serving as the basis for employee evaluation in July and December of each year. In the event of exemplary conduct or disciplinary actions, we will promptly handle rewards and punishments in accordance with the regulations.
All employees (including senior managers, part-time employees, and work-study students) are required to participate in at least one anti-corruption and anti-bribery training course each year and keep records of their participation. They must thoroughly understand the relevant operational procedures they must follow and the potential consequences and risks of violating these regulations.
The Administration Department is responsible for formulating and overseeing the implementation of integrity management policies and preventive measures. It reports to the Board of Directors annually (at least once a year) on the implementation status of integrity management policies and anti-dishonesty behavior prevention plans, as well as the status of corrective actions for deficiencies. This ensures the full implementation of the concept of corporate integrity management.
Our company did not have any legal cases in 2022 related to anti-competitive behavior, antitrust violations, or monopoly practices. We are also actively drafting regulations for business-related colleagues regarding commercial behavior.

Croslene Chemical had no incidents of discrimination, child labor at operational sites or suppliers, or excessive overtime work by employees during the reporting period.
To promote occupational safety, prevent accidents, improve the working environment, and maintain employee health, Croslene Chemical passed OHSAS-18001:2007 and TOSHMS (CNS 15506:2011) in 2015, and obtained ISO 45001:2018 conversion certification through SGS verification in December 2018.
The company handles all labor-management negotiation matters in accordance with relevant government regulations and ISO management regulations. We respect the freedom of assembly and association granted to employees by law and strive to provide open labor-management communication channels, including labor-management meetings and annual employee interviews. We hope to integrate all resources and work together to achieve common goals.
Regularly convene company labor-management meetings (such as year-end bonus distribution/annual salary adjustment negotiation). During the reporting period, two labor-management meetings were held, with 50% representation each from labor representatives and management representatives, in compliance with relevant legal requirements.
Croslene Chemical has signed with the labor union: 1. Employee year-end bonus calculation formula. 2. Hold regular meetings each year to review the calculation standards for the distribution of production bonuses.
In addition, Croslene Chemical has established a labor welfare committee, with members elected by employees to autonomously manage welfare funds. The committee sets various subsidy standards according to employee needs and organizes various employee activities.
During the reporting period, in addition to various subsidy items, the main focus of the full-year employee welfare fund was to organize various activities, including hiking, beach cleaning, year-end party/lottery, health lectures, etc.
